TERMS AND CONDITIONS OF SALE

This document contains the general terms and conditions of sale (hereinafter " General Terms ") of B+B International Uninominale S.r.l. (P.IVA 02483170268 ) with registered office in Vicolo Boccacavalla, 3/F, 31044, Montebbelluna (Treviso), Italy (hereinafter "Seller" for brevity), for the telematic sale of ArtiosCAD.net, a container of projects - packaging, displays, promotional and furniture accessories - designed with ArtiosCAD in parametric mode and made with plotters from Kongsberg.

1. Subject matter and registration on the website
1.1 The General Conditions set forth below govern all contracts of sale having as their object the projects - packaging, displays, promotional and furnishing accessories - designed with ArtiosCAD in parametric mode by the Vendor forming part of the "ArtiosCAD.net" line (hereinafter and for brevity referred to as the "Products") to be entered into between the Vendor and the person who submits the purchase order for the Products (hereinafter, the "Buyer").
Said contracts may only be entered into electronically, through an online service operated by the Seller, accessible through the e-commerce platform provided through the website www.bbinternational.eu (the "Site"), of which the Seller is the exclusive owner, which provides the Buyer with access to discover and purchase the Products through various electronic interfaces (the "Service"); all purchases of digital content made through the Service will be processed by the Seller acting exclusively in its own name. The Buyer, through an individual authorized by him/her, is required to register as a user on the Site; by registering, the Buyer, by accessing and using the Service, confirms that he/she has read, understood and accepted the terms of use of the Site as set forth at the bottom thereof in the "Legal Notices" as well as having read the "Privacy" policy also contained in the Site and, also, confirms that he/she is legally bound by it. The Buyer is authorized to use the Service, only if he/she accepts all the rules applicable and referred to in this contract.

Registration requests are in all cases subject to discretionary approval by the Seller.
1.2 The Buyer shall be provided with a password and account in order to complete the registration process for the Service as well as shall provide his or her email address and anything else requested by the Seller through the Service. The Buyer is required to maintain the confidentiality of the assigned password and account and shall be solely responsible for all activities conducted with his/her password or account. The Buyer also agrees to: (a) notify the Seller immediately of any unauthorized use of his/her password or account or any breach of security; (b) verify that he/she logs out of the account at the end of each session.

The personal information the Buyer provides in the registration form will be collected in accordance with, and for the purposes expressly set forth in, the Seller's "Privacy" policy as set forth on the Seller's Site.

1.3 It is understood that the Seller by means of the Service sells its "Products" in electronic - digital format exclusively to end customers.
1.4 The Seller reserves the right, at its discretion, to change, modify, add or delete part of the terms and conditions of use of the site (the "Legal Notices") as well as the General Terms and Conditions at any time without further notice. In such cases, the Seller will post the changes to the terms and conditions of the Service. If the Buyer continues to use the Service after the application of the changes to the Legal Notes and the General Terms and Conditions, it means that he/she accepts the revised terms and conditions.

1.5 If at any time the Buyer's conduct is not in compliance with the General Terms and Conditions as well as violates the rules in the Legal Notices, the Seller reserves the right to immediately cancel and block the Buyer's access to the Service (or any part thereof) and/or the Buyer's user account. Furthermore, the Buyer agrees to release the Seller from any liability for any blocking or

Cancellation of his access to or use of the Service. The Buyer agrees to use the Service only for lawful purposes and, in particular, without going to infringe or violate, in any way, the rights of other users; conduct that, in Seller's sole discretion, restricts or prevents other users from using and fully enjoying the Service is also not permitted.

2. Contract Conclusion and Billing
2.1 The digital order that the Buyer transmits to the Seller, shall contain the precise identification of the "Product Code", name, description, price and any other element required by the Service through the various electronic interfaces on the Site.
2.2 All sales of digital content are final. A Buyer's purchase of digital content through the Service begins immediately as soon as it begins downloading digital content from the Service and the Buyer does not have the right to cancel the purchase once the download service has begun.
2.3 Once the purchase by the Buyer referred to in sub 2.2 has taken place, the Seller shall send the relevant invoice to the Buyer to the email indicated by the latter at the time of registration.
2.4 By placing an order, in the manner provided for in sub 2.1, the Buyer declares that he/she has read all the information provided to him/her during the purchase procedure and that he/she accepts these General Conditions in full. 3. Products
3.1 The information and images relating to the Products contained in the Seller's digital catalog and present on the Site or in other similar computer documents, are purely indicative and do not bind the Seller in any way.
3.2 The Seller reserves the right to delete one or more Products from the lists or to add new ones at its sole discretion and without prior notice.
4. Pricing
4.1 Selling prices are those displayed on the Site for each Product. The total price

includes the price of digital content. Prices are exclusive of VAT, if applicable.
4.2 Notwithstanding the foregoing provisions of Section 4.1, Seller reserves the right to change the price of the Products at its discretion and at any time.
5. Orders
It is understood that no order shall be binding unless and until.

Accepted by the Seller through its own computer system.

6. Terms of payment

The terms of payment are indicated by the Seller in a special on-screen screen on the Site prior to the purchase; in any case, all payments shall be made in favor of the Seller by credit card or bank transfer or by other means of payment indicated on the Site, the debiting of which shall be made exclusively to current accounts in the name of the person to whom the invoice is addressed.

7. Exemption from warranty
Since the object of this contract is only the design of products which the Buyer then manufactures, subsequent to the purchase, any liability of the Seller, contractual and/or extra-contractual inherent to the products themselves is expressly excluded.
8. Force Majeure
8.1 In any event, the Seller shall not be liable to the Buyer for non-performance of any clause of these General Conditions and/or the contract of sale, if performance is rendered impossible or excessively burdensome due to unforeseeable events not attributable to it.
8.2 The Seller shall not be liable to the Buyer, except in the case of willful misconduct or gross negligence, for inefficiencies or malfunctions related to the use of the Internet outside of its control or that of its sub-suppliers.
8.3 The Seller, for the handling of payments made by the Buyer by credit card or bank transfer or by other means of payment indicated on the Site, shall use

of the work of specialized third parties to ensure that payment transactions are conducted while adequately protecting the Buyer's data. Although the Seller shall exercise the utmost care in the selection of third party service providers, the Seller shall not be liable to the Buyer for any damages incurred as a result of inefficiencies or malfunctions related to such service, or in the event of misappropriation of or unlawful access to the Buyer's data by third parties.

9. Security of service

It is understood that you may not violate or attempt to violate the security of the Service by damaging network nodes or network services or limit, disable, interrupt, or otherwise impede Seller's ability to monitor or make available the Service.

10. Limitations and/or Exclusions of Liability - Disclaimer
10.1 In order to ensure that the use of the Site, owned by the Seller, takes place in accordance with the objectives and purposes that the latter proposes, users are invited to carefully read the General Conditions and, in particular, the limitations/exclusions of liability provided for in Article 10, since the use of the Site implies the automatic acceptance of the rules therein.
In the event of non-acceptance of the terms contained in this article, users are invited to refrain from using the site.
10.2 The Seller reserves the right to make, at any time and without notice, changes to this disclaimer which will be posted from time to time on the Site under "General Conditions." You are therefore responsible for checking the contents of the disclaimer each time you enter the Site, as your use of the Site will result in your automatic acceptance of any posted changes.
10.3 The Seller makes every reasonable effort to ensure that the data and materials on the Site and made available to you are up to date and free from errors, inaccuracies and omissions, however the Site is provided "as is" and the Seller cannot provide any warranty as to the reliability and accuracy of the data and materials on

in it therefore disclaims any liability for any damages, direct, indirect, incidental and consequential damages related to the use, proper or improper use of the data and material in general contained in this site, including without limitation, merely by way of example, loss of profit, business or professional interruption, loss of programs or other data located on the user's computer system or other system, and this even if B+B International S.r.l. had been expressly made aware of the possibility of the occurrence of such damages.

The site contains links to third party sites in order to facilitate users' navigation. The Seller performs regular checks on the contents of such sites, but is not able to intervene on the policies, privacy and security used and the mode of operation of such sites, in any case B+B International S.r.l. will not be responsible for any violations of the law put in place through such sites. Navigation on the linked sites is therefore under the sole responsibility of the user and B+B International S.r.l. declines all responsibility for any damage that may be suffered by the latter while browsing such sites.

Although the Seller's Site is not a vehicle for viruses, worms, trojans or other harmful elements, it is not possible to exclude a priori that these may be conveyed, by means of navigation on this Site or linked sites, on users' computers. It is therefore the sole responsibility of users to equip themselves with the appropriate tools to ensure safe browsing, such as an up-to-date antivirus program. It is also recommended that you scan the files you intend to download. In any case, the Vendor will not be held liable for any damages derived from computer virus attacks or other similar threats, including hacker attacks, that users may suffer in the course of or as a result of browsing the Site or linked sites.

10.4 Nothing in this disclaimer is intended to circumvent compliance with applicable law or to exclude or limit liability under law that cannot be excluded by law.

By using this Site you agree to the disclaimers and limitations of liability set forth above stating that you consider them reasonable. If you do not consider them reasonable, you are urged not to use the Site.
Should any point in this disclaimer be unenforceable under the law, this will not affect the enforceability of the rest of the disclaimer.

11. Distinctive Signs of the Products
11.1 The Buyer agrees not to delete or remove the trademarks and other distinctive or identifying signs affixed to the Products.
11.2 It is understood that neither by these General Conditions nor by the individual contracts of sale are any rights whatsoever (whether by way of license or in any other capacity) granted to the Buyer in respect of the Seller's distinctive signs. Any use by Buyer of Seller's distinctive signs shall be deemed to be prohibited, unless prior written authorization to that effect is obtained from Seller.
11.3 All content on the Service, including without limitation designs, text, graphics, images, movies, information, applications, software, music, sounds and other files, and the selection and arrangement thereof ("Site Content"), is the exclusive property of Seller or its licensors and all rights are reserved. You are prohibited from modifying, copying, distributing, framing, reproducing, republishing, downloading, displaying, posting, transmitting or selling in any form or by any means the Site Content, in whole or in part, without first obtaining the written permission of Seller.
12. Industrial and Intellectual Property Rights
12.1 The Seller is and shall remain the exclusive owner of all industrial and intellectual property rights related to the Products supplied, including their individual parts and documentation, as well as well highlighted in the "Legal Notices" contained in the Site.
12.2 Any use of the Service or Site Content other than what is specifically authorized herein is strictly prohibited, without prior written authorization from the Seller; violation of this provision may also result in the violation

of applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes. Except where explicitly stated, nothing in these terms and conditions shall be construed as a license to intellectual property rights. 12.3 It is understood that you shall not upload, post or otherwise make available on the Service any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. The Buyer shall be solely liable for any damages resulting from the infringement of copyright, proprietary rights, or any other harm caused by the posting of such material.

13. Autonomy

Should any clause of these General Terms and Conditions be deemed invalid or ineffective, such invalidity or ineffectiveness shall not affect the validity of the other clauses, which shall continue in full force and effect.
14. Applicable Law

These General Conditions, as well as any contract of sale concluded between the Seller and the Buyer, shall be governed by and construed in accordance with Italian law.
15. Jurisdiction and Competent Court

15.1 For any and all disputes arising from these General Conditions and the contracts of sale concluded on the basis hereof, the exclusive jurisdiction shall be that of Italy and competence shall belong exclusively to the Court of Treviso.
16. Access to the contract, to these General Conditions, to the legal notes and privacy and their storage

16.1 Pursuant to Art. 12 of Legislative Decree 70/2003, the Seller informs the Buyer that every order sent electronically is stored in digital/paper form on the server at the Seller's premises in accordance with the criteria of confidentiality and security and that the orders thus stored may be provided at the request of the Buyer in

electronic format or in paper form.
16.2 A copy of these General Conditions, pursuant to Article 12 No. 3 of Legislative Decree 70/2003, may be printed, downloaded and saved on the Buyer's computer directly from the Site; the Buyer may carry out a similar process with the Legal Notices and Privacy affixed to the Site. These Conditions, Legal Notes and the Privacy Policy may be printed and stored on common computer media.
17. Provision and processing of personal data
Legislative Decree No. 196 of 30/06/2003 provides for the protection of persons and other subjects with respect to the processing of personal data. The processing is based on the principles of correctness, lawfulness, transparency and protection of the confidentiality of the person who provides personal data.
Pursuant to art. 13 Legislative Decree. 196/2003 with reference to the common personal data provided by the Buyer when registering to the Site that are intended to be processed, the following information is provided:
a) Purposes of the processing: registration to the site, subscription to the newsletter service, sending the products ordered, sending information requested by the user in particular for the management of orders and related shipments, management of requests for information, billing, customer service, sending information/promotional material.
The data are also collected and processed to provide for accounting, tax, commercial and technical compulsory fulfilments related to the economic activity of the Seller and the contractual relationships undertaken by the latter.
b) Method of processing: telematic methods, in encrypted form and subsequently processed by computer and manual means.
c) Provision of data: the provision of personal data requested upon registration with the Site is mandatory in order to allow access to the Site itself, the use of the utilities therein and the conclusion of contracts for the sale of Products electronically through the Site. The provision is also mandatory in order to allow the regular flow of accounting, fiscal and technical data; any refusal could result in

the non-execution or partial execution of the contract.
d) Communication and dissemination: the data may be communicated by the Seller to any other external parties for the performance of technical, commercial activities, tax compliance, management of collections and payments arising from the execution of contracts and to other parties according to the law.
e) The interested party enjoys the rights under Art. 7 of Legislative Decree 196/2003, which is set out below:

1. The interested party has the right to obtain confirmation of the existence or non-existence of personal data concerning him/her, even if not yet registered, and their communication in an intelligible form.

2. The interested party has the right to obtain an indication of: a) the origin of the personal data; b) the purposes and methods of processing; c) the logic applied in the case of processing carried out with the aid of electronic instruments; d) the identification details of the owner, managers and designated representative under Article 5, paragraph 2; e) the subjects or categories of subjects to whom the personal data may be communicated or who may become aware of them as designated representative in the territory of the State, managers or agents.

3. The interested party has the right to obtain: a) the updating, rectification or, when interested, the integration of data; b) the cancellation, transformation into anonymous form or blocking of data processed in violation of the law, including those that do not need to be kept for the purposes for which the data were collected or subsequently processed; c) certification to the effect that the operations as per letters a) and b) have been notified, as also related to their contents, to the entities to whom or which the data were communicated or disseminated, unless this requirement proves impossible or involves a manifestly disproportionate effort compared with the right that is to be protected.

4. The interested party has the right to object, in whole or in part: a) on legitimate grounds, to the processing of personal data concerning him/her, even if pertinent to the purpose of collection; b) to the processing of personal data concerning him/her for the purpose of sending advertising or direct sales material or for carrying out market research or commercial communication.

The Buyer, by completing the registration procedure on the Site, authorizes the processing of personal data provided during this procedure for all the purposes highlighted above.
